Terms of Service

Welcome to PowerSuite! Please read these Terms of Service ("Terms") carefully. By accessing or using the PowerSuite platform, you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use PowerSuite services.

1. Acceptance of Terms

These Terms constitute a binding agreement between you (“Customer,” “Subscriber,” or “User”) and PowerSuite, LLC, a Florida limited liability company (“PowerSuite,” “we,” “our,” or “us”). These Terms govern your access to and use of all PowerSuite software, tools, and services.

Your use of the Services constitutes acceptance of these Terms.

3. Eligibility

You must be at least 18 years old to use PowerSuite services.

4. Updates to These Terms

We may update or revise these Terms at any time. Changes take effect immediately upon posting. Continued use of the Services after changes means you accept the updated Terms.

5. Description of Services

5.1 AI Receptionist Services

PowerSuite provides AI-driven receptionist services, including AI call answering, spam filtering, routing, voicemail, transcription, booking, lead capture, outbound call workflows, and notifications through SMS or email. PowerSuite does not provide human, live, or virtual receptionist services. All AI Receptionist features are subject to the Reasonable Use Policy and Restricted Usage Policy.

5.2 PowerSuite CRM & Automation Platform

Includes CRM and contact management, calendars, pipelines, workflows, automations, funnels, websites, forms, sales tools, reporting, and integrations.

5.3 Messaging Services (SMS/Email/Phone)

Your subscription includes 1,000 SMS credits per month. Each outbound SMS segment equals one credit. Overage charges are billed at $0.03 per SMS credit. MMS messages, international messaging, and carrier surcharges may incur additional costs.

You are fully responsible for compliance with TCPA, CAN-SPAM, FCC regulations, CTIA guidelines, and all federal and state messaging or calling laws. PowerSuite has no liability for your messaging or calling practices.

6. Data Ownership, Recordings & Transcripts

6.1 Customer Sole Ownership

You retain 100% ownership of your call recordings, voicemail recordings, AI call transcripts, SMS/MMS messages, CRM data, contact information, files, and all other customer-generated content. PowerSuite only accesses this information as needed to deliver the Services.

6.2 Data Retention

PowerSuite may store recordings and transcripts as necessary to operate the Services and comply with applicable laws. You may request deletion at any time.

7. Billing, Payments & Fees

7.1 Subscription Plans

PowerSuite offers month-to-month subscriptions and optional annual prepaid plans. There are no guarantees or performance guarantees of any kind.

7.2 Payment Method

All billing is processed through Stripe. You authorize PowerSuite to automatically charge the payment method you provide.

7.3 Setup Fees

All setup, onboarding, and activation fees are non-refundable.

7.4 Call Overages

Your AI Receptionist plan includes up to 300 calls per month. Additional calls are billed at $2.00 per call. A call includes inbound or outbound AI-handled calls.

7.5 Grace Period for Failed Payments

If a payment fails, you have a 5-day grace period. After 5 days, your account may be suspended. After 10 days without payment, the account may be terminated. PowerSuite may, at its discretion, forward calls during this period but is not obligated to do so.

7.6 No Refunds

PowerSuite does not provide refunds, credits, prorated refunds, or refunds for unused time. All charges are final.

8. Compliance Requirements

8.1 Customer Responsible for All Compliance

You are solely responsible for compliance with federal, state, and local regulations including FCC rules, FTC Telemarketing Sales Rule, TCPA, CAN-SPAM, CTIA, and all applicable telecommunication or marketing laws. PowerSuite is not responsible for your compliance and accepts no liability for violations caused by your usage.

8.2 Prohibited Professional Advice

The AI Receptionist may not be configured or allowed to provide legal, medical, financial, or any regulated professional advice.

9. Reasonable Use Policy

All usage of PowerSuite must conform to the Reasonable Use Policy. Excessive or abnormal usage may result in rate limits, throttling, suspension, or termination. The Reasonable Use Policy is incorporated by reference.

10. Restricted Usage Policy

The Services may not be used for illegal activity, harassment, scams, spam, fraudulent acts, impersonation, high-risk lead generation, calling lists without proper consent, or other prohibited activities defined in the Restricted Usage Policy.

11. Cancellation & Termination

11.1 Customer Cancellation

A 30-day written notice is required to cancel any subscription. Cancellation requests must be sent to [email protected]. Subscriptions remain active and billable during the 30-day notice period.

11.2 No Refunds on Cancellation

PowerSuite does not provide refunds for partial months, unused time, prepaid annual plans, or setup fees.

11.3 PowerSuite Termination Rights

We may suspend or terminate your account immediately if payment fails beyond the grace period, if you violate compliance laws, breach the Restricted Usage Policy, threaten system integrity, or engage in illegal, abusive, or harmful behavior.

12. Confidentiality

PowerSuite treats all customer data as confidential except when disclosure is required by law, necessary to provide the Services, or expressly authorized by the customer.

13. Intellectual Property

PowerSuite retains ownership of all software, systems, workflows, templates, automations, documentation, branding, UI/UX elements, and internal tools. You may not reverse engineer, copy, redistribute, sublicense, or resell PowerSuite intellectual property.

You own only your customer data.

14. Limitation of Liability

To the fullest extent allowed by law, PowerSuite will not be liable for indirect, special, incidental, consequential, exemplary, or punitive damages, including loss of revenue, profits, data, business interruption, compliance violations, or the cost of substitute services.

PowerSuite’s maximum liability is strictly limited to the amount paid by you in the previous 12 months.

15. No Guarantees

PowerSuite makes no guarantees of performance, outcome, lead volume, profitability, business growth, or any specific results.

16. Governing Law

These Terms are governed by the laws of the State of Florida, with venue in Brevard County, Florida.

17. Arbitration Clause

Any dispute, claim, or controversy arising out of or relating to these Terms or the PowerSuite Services will be resolved exclusively through binding arbitration in Brevard County, Florida. You waive the right to a trial by jury.

18. Severability

If any section of these Terms is found unenforceable, the remainder will continue in full effect.

19. Entire Agreement

These Terms constitute the entire agreement between you and PowerSuite, LLC, superseding all previous agreements, understandings, or representations.
